2. Scope and acceptance
These Terms and Conditions ("Terms") govern the use of the website www.mizu-voip.com and the purchase and use of software products and licenses provided by Mizutech SRL (hereinafter "Mizutech", "we", "us", or "our").
By accessing our website, requesting information, or purchasing our products, you agree to be bound by these Terms unless a separate written agreement is executed. If you do not agree, please do not use our services.

3. Our Products and Services
We develop and license VoIP-related software, including but not limited to server apps, client apps, libraries and SDK's implementing the SIP/WebRTC/RTP and related protocols. 
Most licenses are perpetual one-time purchases. Our services include support, maintenance, custom development and upgrades.

4. Ordering and Delivery
All orders are subject to acceptance by us.
After payment, we prepare and deliver your custom build or license key usually within one business day.
Delivery is electronic via download link or email. 
You are responsible for providing accurate information for customizations.

We provide free demo or trial versions for all our software. Customers are strongly encouraged to test the software thoroughly before purchase.

5. Pricing and Payment
Prices are listed on our website or quoted via email, usually in USD or EUR. 
Payment methods are wire transfer, PayPal and card payment via myPos. 
Payment must be received in full before delivery unless otherwise agreed. 
All payments are final subject to our Refund and Cancellation Policy. 
You authorize us to charge the payment method provided.
Invoice are emitted soon after payment arrives  in accordance with applicable tax rules. We can also send proforma invoice before payment upon request. 

6. License Grant
Subject to full payment and compliance with these Terms, we grant you a non-exclusive, non-transferable license to use the software according to the purchased tier.
Restrictions:

  • You may not sublicense, rent, lease the software.
  • You may not reverse engineer, decompile, or modify the software except as permitted by law.
  • Custom builds remain our intellectual property; you receive only usage rights.
  • License is for the number of users/channels/capacity/servers specified in the purchased tier.

7. Intellectual Property
All software, documentation, and related materials are our exclusive intellectual property. No ownership is transferred to you.

8. Support and Maintenance
The purchase price includes email support and upgrades for the period specified in the license tier.
Support extensions are available for additional fee.
We do not guarantee uninterrupted service or compatibility with all future systems.

9. Warranties and Disclaimers
We warrant that the software will substantially conform to its documentation at the time of delivery.
Except as stated above, the software is provided "AS IS". We disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose. 
No support is provided for the documented known issues. 
We are not liable for any indirect, consequential, or incidental damages, loss of data, or business interruption.

10. Limitation of Liability
Our total liability shall not exceed the amount paid by you for the specific license. This limitation applies even if advised of the possibility of such damages.

11. Refund and Cancellation
All refunds and cancellations are governed exclusively by our separate Refund and Cancellation Policy, which forms an integral part of these Terms.

12. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy and applicable GDPR rules. By using our services, you consent to such processing as described.

13. Termination
We may terminate your license if you breach these Terms. Upon termination, you must cease using the software and delete all copies.

14. Governing Law and Jurisdiction
These Terms are governed by the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Brașov, Romania.

15. Changes to Terms
We reserve the right to update these Terms. Continued use of our website or products after changes constitutes acceptance of the new Terms.
